1. Acceptance of Terms
- Binding agreement. By creating an account, using the OddVue website, application, or browser extension (together, the "Service"), or otherwise accessing the Service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.
- Acceptance at registration. If you register an account, your acceptance of these Terms is recorded at the time you complete registration (including by checking the box confirming that you have read and accept the Terms of Service and Privacy Policy). You represent that you have the authority to enter into these Terms (e.g. you are of legal age and not barred by applicable law).
- Ongoing use. Continued use of the Service after any update to these Terms (where we have given notice as described in Section 18) constitutes acceptance of the updated Terms.
- If you do not agree. You must not use the Service if you do not agree to these Terms or the Privacy Policy.
- Electronic communications consent. You consent to receive communications from us electronically (e.g. by email to your registered address or by in-app notification). You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be "in writing," to the extent permitted by applicable law (including under the Information Technology Act, 2000, in India).
2. Who We Are
- The Service is provided by ODDVUE PMI LLP, a Limited Liability Partnership registered in India.
- References in these Terms to "OddVue," "we," "us," or "our" mean ODDVUE PMI LLP.
- For contact details, see Section 24 — Contact.
3. Description of the Service
- What OddVue is. OddVue is a trading journal application that helps you record, organize, and analyze your trading setups and related information. It may be used via: the OddVue website, the OddVue desktop application, and the OddVue browser extension (where installed and supported).
- As provided. The Service is provided as is within the scope described in these Terms and in our then-current documentation and product descriptions. We do not guarantee that the Service will meet every possible use case or work with every device, browser, or third-party platform.
- Scope. The Service includes features such as (without limitation): journal entries, logging of trades or setups (including symbol, price, exchange, timestamps, notes), managed position record-keeping (for example position side, fill/exit/stop events, and derived metrics such as returns, R, and risk badges), related analysis and export, optional image attachments on the device, local backup and restore, an optional OddVue copy of your book, and convenience features that direct you to third-party websites (e.g. for research or social search). The Service is a trading journal and record-keeping tool; it is not brokerage execution, order routing, or investment advice. The exact set of features may change over time.
- Service modifications. We may modify, update, add, or remove features of the Service at any time. Where a change is material (e.g. removal of a significant feature or a fundamental change to how sync or data storage works), we will endeavour to give you reasonable advance notice (e.g. via email or in-app notification). Continued use of the Service after a material change constitutes acceptance of the change. If you disagree with a material change, you may cancel your subscription as described in Section 17.
- Beta and early-access features. We may occasionally offer features, tools, or services that are designated as "beta," "early access," "experimental," or similar. Such features are provided for evaluation purposes and may be incomplete, unstable, or subject to change or removal at any time without notice. Beta features are provided "as is" with no warranty of any kind, and you should not rely on them for critical use. Our Disclaimer of Warranties (Section 14) and Limitation of Liability (Section 15) apply to beta features.
- Service availability and downtime. We do not guarantee 100% uptime or uninterrupted availability of the Service. The Service may be temporarily unavailable due to scheduled maintenance, software updates, or circumstances beyond our control (e.g. third-party infrastructure outages, internet disruptions). We will endeavour to give reasonable notice of planned maintenance where practicable (e.g. via in-app notice or on our status page). See also our Disclaimer of Warranties (Section 14).
4. Data Storage, Cloud Sync, and Local-Only Data
- Where the journal lives. Logged trades, drafts, Watch items, screenshots, Account Size, and related journal settings are stored on the device where you use the OddVue application (local database and local files). That device copy is the live journal.
- What we store for your account. When you create an account we store account data needed to operate the Service (for example email, name, timezone preference, authentication sessions, trial and subscription status, legal acceptances, and limited usage records described in the Privacy Policy). We do not operate a live cloud journal that appears automatically on every computer you sign in on.
- Account Size and Ideal. Total capital, ideal position size, display currency, and the AI research button preference of
gemini, pplx, orgfinlive on the device and in a backup archive you create. They are user-entered or user-confirmed journal settings, not live brokerage balances, and they are not a live cloud preference synced across computers. - Local backups. You may create backup archives on this computer (including reminders in the app). You may keep as many local copies as you wish. Those files stay under your control. The close-app reminder never uploads an archive to OddVue. Restore expects the original exported
.zipbackup file directly. You should not unzip the backup before starting restore unless we explicitly document otherwise. - Optional OddVue copy (other computer). In Settings you may ask OddVue to keep at most one copy of your book in your OddVue account, so you can sign in on another computer and restore it inside the OddVue app. This is optional and off until you create a copy. OddVue creates that archive from this device and uploads it. You cannot choose a file from disk or upload any other file to that storage. We may limit the size of that archive (currently 1 GB). If a new archive is larger than the limit, it is not uploaded; a previous OddVue copy, if any, is left in place. Creating a new OddVue copy replaces the previous one after the new upload succeeds, and only after you confirm in the app each time you ask.
- Restore. Restoring an OddVue copy or a local zip replaces the journal on that computer with the archive. It is not a merge of two live apps. Use one computer as the live journal unless you restore.
- Drafts and Watch. Draft and Watch records that have not been logged remain on the device (and in a portable backup you create). They are not a separate cloud watchlist. User-created temporary entries (drafts) are stored locally in the app database on your device, and draft screenshots are stored as local image files. Temporary entries and draft screenshots are not uploaded unless they are included in an archive you create. If you lose the device or clear local data before copying, such local-only data may be lost. We may automatically remove temporary entries (and related draft screenshots) that have remained stale for 120 days.
- Images. Screenshots are stored on your device and, if you create an OddVue copy, inside that archive. We do not host each screenshot as a standalone cloud image for the live app.
- Your responsibility. You are responsible for keeping local backups if you need them. We are not responsible for loss of journal data that existed only on a device and was never copied to a local zip or an OddVue copy, except as required by applicable law.
- Concurrent sessions and device limits. Currently, you may use the Service on multiple devices without a specific device limit. However, we reserve the right to introduce limits on the number of concurrent sessions or devices in the future, with reasonable notice to you. Any such limits will be communicated on our website or in the application.
- Data export and portability. You may export journal data using the export or backup features in the application, in addition to any portability rights under applicable data protection law (see our Privacy Policy). A privacy export of account data is not a substitute for a zip of the live book.
- Privacy. How we collect, use, and protect your data is set out in our Privacy Policy, which forms part of your agreement with us.
- Research-button usage. We may record account-unlinked clicks on FinTwit Ft.X and the AI research buttons, as described in the Privacy Policy, to improve the Service.
5. Eligibility and Account
- Eligibility. You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) and able to form a binding contract to use the Service.
- Not intended for children. The Service is not directed at or intended for use by individuals under the age of 18 (or the applicable age of majority). We do not knowingly collect personal data from children. If we learn that we have collected personal data from a child, we will take steps to delete that data promptly.
- Accurate information. You must provide accurate, current, and complete information when registering and must keep that information up to date.
- One account per person. Unless we expressly allow otherwise, you may maintain only one account per person. You may not create or use multiple accounts to circumvent trial, subscription, or usage limits.
- Security. You are responsible for keeping your account credentials (e.g. password) confidential and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.
- Prohibited jurisdictions and sanctions. The Service is not available in jurisdictions where its provision would be prohibited by applicable sanctions, export control laws, or other legal restrictions (including, without limitation, US, EU, UN, or India sanctions regimes). By using the Service, you represent and warrant that: (a) you are not located in, or a national or resident of, any such prohibited jurisdiction; (b) you are not on any applicable sanctions or restricted-party list (e.g. OFAC SDN list, EU consolidated list, or India's UAPA list); and (c) you will not use the Service in violation of any applicable sanctions or export control laws. We reserve the right to restrict or terminate access from prohibited jurisdictions at any time without notice.
- Account inactivity. If your account is inactive (i.e. you have not logged in or used the Service) for a prolonged period (e.g. 24 months) and you do not have an active paid subscription, we may notify you at your registered email address. If you do not respond or reactivate your account within a reasonable grace period (e.g. 30 days from the date of our notice), we may delete or anonymize your account data in accordance with our Privacy Policy and applicable data protection laws. We will endeavour to give reasonable notice before doing so.
6. Trial and Subscription
- Free trial. The free trial starts when you first log in to the OddVue desktop app, not when you register on the website. One trial per device. No card is required. When the trial ends, nothing is charged. A paid subscription is required to keep using the Service after the trial.
- Subscription. After the trial (or if no trial applies), access may require a paid subscription. Subscription terms, billing frequency, and pricing are as stated on our website or at checkout. Payment is handled as described in Section 8. Card checkout is not open yet.
- Auto-renewal. Unless you cancel before the end of the current billing period, a paid subscription will automatically renew for the same duration (e.g. monthly or annually) at the then-current price. You authorize Dodo Payments, as Merchant of Record, to charge the applicable fee at renewal.
- Cancellation by you. You may cancel a paid subscription in the website or the app. You keep access until the end of the current paid period, and the next charge is not taken. You may also cancel through Dodo Payments. A cancellation sent to Dodo needs to arrive at least 48 hours before the paid period ends, and it takes effect at the next payment date. Cancelling does not refund the current period.
- Refunds. Refunds for a paid order follow Section 7. Dodo Payments is the Merchant of Record for that order. If Dodo refunds the charge, access for that purchase ends.
7. Refund and Cancellation Policy
Paid orders are sold by Dodo Payments, the Merchant of Record. ODDVUE PMI LLP supplies the OddVue software. Dodo's buyer terms are at https://dodopayments.com/legal/buyer-terms. Card checkout is not open yet.
Refunds
- A refund is discretionary. Dodo Payments may refuse it. Asking does not guarantee a refund.
- A refund has to be started within 30 days of the charge. After that window, Dodo does not start a refund, except where applicable law requires otherwise.
- Refunds are refused where there is evidence of fraud, refund abuse, or other manipulative behaviour.
- Unused time on a subscription is not refunded. Cancelling stops future charges. It does not return the current period.
- If Dodo refunds a charge, access to OddVue for that purchase ends.
- How to request. Use the support address on your Dodo receipt, or the customer portal at https://customer.dodopayments.com. Do not ask OddVue to refund the card. For a material product defect, contact https://oddvue.com/contact first.
- Sales tax. If you were charged sales tax and you are registered for that tax, ask Dodo within 60 days of the purchase and provide a valid tax code. OddVue does not refund that tax.
Cancellation
- Cancellation is described in Section 6. You keep access until the end of the current paid period. The current period is not refunded.
- Contact. Billing and refunds: Dodo Payments. Product support: https://oddvue.com/contact. Legal entity: ODDVUE PMI LLP. No phone number on this page.
8. Fees, Payments, and Taxes
- Fees. You agree to pay all fees applicable to your chosen plan at the rates in effect at the time of purchase or renewal. Fees may be billed in advance (e.g. monthly or annually) as stated at checkout.
- Checkout status. Card checkout is not open on the public site yet. No card is charged for the free trial.
- Payment processor. When paid checkout opens, paid subscriptions for users worldwide (including India and all other countries) are processed by Dodo Payments, our Merchant of Record. Dodo's identity and checkout terms are disclosed at checkout and in our Privacy Policy.
- Merchant of Record. Dodo Payments is the legal seller of the paid subscription. Dodo collects the purchase price, calculates and collects applicable taxes (including VAT, GST, sales tax, and similar taxes), remits those taxes where required, sends the invoice, and handles the card refund. ODDVUE PMI LLP provides the OddVue software. We do not invoice you for the subscription and we do not refund the card. We are not responsible for Dodo's tax remittance. Any liability of OddVue in connection with a subscription processed by Dodo is subject to the Limitation of Liability in Section 15.
- Price changes. We may change fees upon reasonable notice (e.g. on the website or by email). Continued use after the effective date of a fee change may constitute acceptance of the new fees where permitted by law.
- Chargebacks and disputes. Contact Dodo Payments before you raise a chargeback with your bank or card issuer. You agree to resolve billing disputes in good faith before initiating a chargeback. We are not liable for charges reversed by your bank or payment provider except as required by law.
9. Acceptable Use
- Lawful use only. You may use the Service only for lawful purposes and in accordance with these Terms and applicable laws and regulations.
- You agree not to:
- use the Service in any way that violates any third party's terms of service or policies (including, when you use OddVue to access them, the terms of X, Perplexity, Google / Gemini Apps, Google Finance (
google.com/finance), TradingView, or other third-party platforms); - reverse engineer, decompile, disassemble, or attempt to derive source code from the Service or any part of it, except to the extent permitted by applicable law;
- resell, sublicense, or commercially exploit the Service or any part of it without our prior written consent;
- use automated means (e.g. bots, scrapers) to access or use the Service beyond normal personal use (e.g. reasonable use of the website and app for journaling);
- interfere with or disrupt the integrity or security of the Service, our systems, or other users' access;
- use the Service to transmit malware, spam, or any unlawful or harmful content;
- use the Service for any purpose that is fraudulent or that we reasonably consider abusive or harmful to us, other users, or third parties.
- use the Service in any way that violates any third party's terms of service or policies (including, when you use OddVue to access them, the terms of X, Perplexity, Google / Gemini Apps, Google Finance (
- Enforcement. We may suspend or terminate your access to the Service (and take other steps we consider appropriate) if we reasonably believe you have breached this section or any other part of these Terms.
10. Third-Party Websites and Features
- Facilitation only. OddVue may include features (such as "FinTwit Ft.X," "Res Ft.PPLX," "Deep Ft.Gem," "Fin Ft.Goog," or similar) that facilitate your access to third-party websites (e.g. X (twitter.com/x), Perplexity (perplexity.ai), Google Gemini Apps (gemini.google.com), Google Finance (google.com/finance), TradingView (tradingview.com)). These features typically work by opening your browser to the public URL of that third-party site and/or copying text to your local clipboard. OddVue may count those button presses as usage data, as described in the Privacy Policy; it still does not post or scrape on your behalf. OddVue does not use those platforms' APIs, does not scrape or extract data from them on your behalf, and does not post, submit, or display content on those platforms for you.
- How the research buttons work.
- FinTwit Ft.X opens X public search with a symbol query and may copy a research prompt to your clipboard for optional paste into Grok (or another tool). FinTwit Ft.X is separate from the AI research slot.
- Res Ft.PPLX opens Perplexity Finance with a constructed URL and may copy a prompt to your clipboard for you to paste.
- Deep Ft.Gem opens
gemini.google.com/app(Gemini Apps) and copies a prompt locally. You paste; you may select Deep Research in Gemini's UI if you want. OddVue does not use the Gemini API, does not scrape Gemini, and does not auto-submit. - Fin Ft.Goog (Settings may switch the AI slot to this) opens a constructed Google Finance quote URL (
SYMBOL:EXCHANGE, e.g.google.com/finance/quote/VOLTAMP:NSE, or a crypto pairBASE-QUOTE, e.g.google.com/finance/quote/BTC-USD) and copies a prompt locally for you to paste into Google Finance Research. OddVue does not scrape Google Finance, does not use a Google Finance API, and does not auto-submit the Research box. - Settings: the AI slot is Deep Ft.Gem, Res Ft.PPLX, or Fin Ft.Goog; FinTwit Ft.X is separate.
- You are the user of third-party services. When you use those third-party websites, you are the user of those services. Your use of them is governed by their terms of service and privacy policies, not by OddVue. You are responsible for complying with their terms and for your conduct on those sites, including anything you paste or submit. After Gemini Apps open, Google's Terms of Service, Generative AI Prohibited Use Policy, and Gemini Apps Privacy Notice apply to you. After Google Finance opens, Google's Terms of Service, Google Privacy Policy, Google Finance disclaimer, and (if you use Research on that page) the Gemini Apps Privacy Notice apply to you. After X or Grok open, X's terms and, where you use Grok, xAI's terms apply to you. After Perplexity opens, Perplexity's terms apply to you.
- No endorsement; no control. We do not endorse and are not responsible for the content, availability, accuracy, or practices of any third-party website or service. We do not control how those platforms operate or how they handle your data. OddVue is not affiliated with, endorsed by, or sponsored by Google, Perplexity, X, xAI, or TradingView.
- Your decisions. Any research, trading, investment, or other decisions you make — whether or not you used OddVue or our features to reach a third-party site — are solely your responsibility. OddVue does not provide financial, investment, legal, or trading advice. We are not liable for any decisions you make, or for any gains or losses (including trading losses) that result from your use of the Service or any third-party website or service. See also Section 12.
11. OddVue Browser Extension
- Purpose. The OddVue browser extension is provided to assist you in capturing data (such as symbol, price, exchange, timestamp) from supported web pages (e.g. certain chart or trading platforms) and sending that data into your OddVue journal. Capture is limited to visible chart fields on supported TradingView pages. Captured values may populate journal fields and Position Manager inputs after you can edit or confirm them. You must verify captured data. It is a convenience tool to reduce manual entry.
- Licence. The extension is licensed for use with the OddVue desktop application. It is not licensed as a standalone feed for third-party journal software.
- No guarantee of accuracy or completeness. We do not guarantee that the extension will capture data correctly or completely in all cases. Capture may be affected by, among other things: the structure of the webpage, the platform's updates, timing, browser or device differences, or the type of exchange or symbol. The extension is provided "as is" (see Section 14).
- Your responsibility to verify and correct. You are responsible for verifying that any data captured by the extension is accurate and complete. OddVue provides editable fields in the journal so you can correct or complete any captured data. You should not rely solely on auto-captured data for any trading or record-keeping decision without verifying it.
- Supported platforms and exchanges. The extension may be designed or optimized for certain platforms and exchanges (e.g. specific international exchanges). We may publish a list of supported or optimized platforms/exchanges in our documentation or on our website. For other platforms or exchanges, capture may be less reliable or unsupported. We do not guarantee compatibility with all third-party sites or future changes to those sites.
- Data and privacy. Data that the extension captures or sends is used only as described in our Privacy Policy. The extension runs only on pages we specify (e.g. certain TradingView URLs) and does not run on or read from other sites. OddVue does not call TradingView APIs, does not scrape off-screen data, does not send journal or Position Manager data to TradingView, and does not use TradingView data for automated trading, order routing, or non-display trading. Position Manager does not sync live broker books; it journals what you recorded.
- AI research features. If the app includes buttons such as Deep Ft.Gem, Res Ft.PPLX, Fin Ft.Goog, or FinTwit Ft.X, OddVue opens a public URL and/or copies text locally to your clipboard. Any submission to Perplexity, Grok/xAI, Gemini, Google Finance Research (Gemini-on-Finance), or similar is by you in your browser. OddVue does not send your prompts to those services. We do not warrant the accuracy or outcomes of any AI-generated content. AI research output is informational only; do not rely on it for financial advice (see Section 12).
- No warranty. The extension is provided without warranty of any kind. We are not liable for any loss or damage arising from use or inability to use the extension, including but not limited to incorrect or incomplete capture of data. Our Limitation of Liability in Section 15 applies.
12. No Financial or Trading Advice; Your Responsibility
- Journal and tool only. OddVue is a trading journal and productivity tool only. We do not provide investment advice, legal advice, tax advice, or trading recommendations. Nothing in the Service should be construed as a recommendation to buy, sell, or hold any security or to engage in any particular trading strategy.
- Not a regulated financial service. OddVue is not a registered broker, dealer, investment adviser, portfolio manager, or regulated financial services provider in any jurisdiction — including but not limited to SEBI (Securities and Exchange Board of India), SEC (US Securities and Exchange Commission), FCA (UK Financial Conduct Authority), or any equivalent regulatory authority worldwide. The Service is not subject to financial services regulation and does not offer regulated financial products or services.
- Your responsibility. You are solely responsible for your trading, investment, and financial decisions. You use the Service and any third-party sites or features at your own risk. This includes any AI research output you obtain via Deep Ft.Gem, Res Ft.PPLX, Fin Ft.Goog / Google Finance Research, FinTwit/Grok, or similar features. We are not liable for any trading losses, lost profits, or any other damages arising from your decisions or your use of the Service.
- Consult professionals. We recommend that you consult qualified financial, legal, and tax advisors before making trading or investment decisions, and that you only trade with money you can afford to lose. Trading involves substantial risk of loss; past performance does not guarantee future results.
13. Intellectual Property
- OddVue's rights. OddVue and its licensors own all right, title, and interest in and to the Service, including the OddVue name, logo, and all related content, features, and technology (excluding your own data). No right or licence is granted to you except the limited right to use the Service in accordance with these Terms.
- Limited licence. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use only. You may not copy, modify, distribute, sell, or create derivative works from the Service or any part of it without our prior written consent.
- Your data. You retain ownership of the content and data you submit to the Service (e.g. journal entries). You grant us the licences necessary to operate the Service (e.g. to store account data, to keep an optional OddVue copy when you ask, and to display your data) as described in our Privacy Policy and these Terms.
- User feedback and suggestions. If you voluntarily provide us with feedback, suggestions, ideas, or feature requests (whether by email, in-app, or otherwise), you grant us an unrestricted, irrevocable, perpetual, royalty-free, worldwide licence to use, modify, and incorporate such feedback into the Service or our business in any way, without obligation, compensation, or attribution to you. You acknowledge that we may already be independently developing similar ideas or features.
- Third-party and open-source software. The Service may include or be built using third-party or open-source software components, which are subject to their own licence terms (e.g. MIT, Apache, GPL, or similar). To the extent that any open-source licence terms conflict with these Terms, the open-source licence terms shall govern with respect to that component only. A list of significant open-source components and their licences may be made available in the application or on our website upon request.
14. Disclaimer of Warranties
- "As is." To the fullest extent permitted by applicable law, the Service (including the website, application, browser extension, and any beta or early-access features) is provided "as is" and "as available" without warranties of any kind, either express or implied.
- No warranties. We disclaim all warranties, including but not limited to: implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Service will be uninterrupted, error-free, secure, or that data capture (including by the extension) will be accurate or complete.
- Jurisdiction. Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, our liability is limited to the maximum extent permitted by law; the above exclusions may not apply to you in full.
15. Limitation of Liability
- Cap on damages. To the fullest extent permitted by applicable law, in no event shall ODDVUE PMI LLP, its partners, employees, or affiliates be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages (including but not limited to loss of profits, loss of data, loss of business opportunity, or trading losses), whether based in contract, tort (including negligence), strict liability, or otherwise, arising out of or in connection with the Service or these Terms.
- Maximum liability. Our total aggregate liability to you for any and all claims arising out of or related to the Service or these Terms shall not exceed the amount you actually paid to OddVue (or, where the MoR collected payment, the amount you paid for the Service) in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any amount in that period, our maximum liability shall not exceed INR 1,000 (or the equivalent in the currency you paid, if different).
- Exclusions. We are not liable for: (a) loss or corruption of data that existed only on a device and was never copied to a local zip or an OddVue copy (e.g. local-only or temporary entries); (b) loss of local files, local backup files, or restore failures caused by user-side file handling (including altered, incomplete, corrupted, or manually unzipped backup archives); (c) your use of or reliance on third-party websites or services (including X, xAI, Perplexity, Google Gemini Apps, Google Finance, TradingView) or any decisions you make based on them; (d) incorrect or incomplete data captured by the extension or any reliance on such data; (e) any failure of a payment provider or Merchant of Record to remit taxes or comply with local law, except as required by applicable law; (f) force majeure events (e.g. natural disaster, war, pandemic, government action, or failure of third-party infrastructure).
- Indian law. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable Indian law. The above limitations are subject to the laws of India where you are subject to them.
16. Indemnification
- Your indemnity. To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless ODDVUE PMI LLP, its partners, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms or any applicable law; (c) your violation of any third party's rights (including intellectual property or privacy); or (d) any content or data you submit to the Service or any third-party site when using our features. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense.
17. Termination
17.1 Cancellation by You
- You may stop using the Service at any time. If you have a paid subscription, you may cancel it through the process described on our website, in the app, or through the payment provider.
- Access for remaining period. If you cancel your subscription, you will retain full access to the Service (including the journal and all paid features) until the end of the current billing period you have already paid for. Your account will not be downgraded or restricted during that remaining period.
- After the period ends. Once the paid period expires after cancellation, your account will transition to the non-subscription state. You will no longer have access to paid features. Your data will be retained in accordance with our Privacy Policy and data retention practices; we encourage you to export or back up your data before the paid period ends.
- Cancellation terms are also stated in Section 6 (auto-renewal). Refunds follow Section 7.
17.2 Termination by OddVue
- For breach. We may suspend or terminate your account or access to the Service immediately, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraudulent or abusive activity, or violated applicable law. In such cases, we are not obligated to provide continued access for any remaining subscription period, and no refund is due unless required by applicable law.
- For operational or legal reasons. We may also suspend or terminate accounts for operational reasons (e.g. discontinuation of the Service) or as required by law or a court order. Where reasonably possible, we will give you advance notice and an opportunity to export your data.
17.3 Account Deletion and Right to Erasure
- Your right to delete. You may request deletion of your account at any time by contacting us (see Section 24) or by using the account deletion feature in the application, if available.
- What happens on deletion. Upon receiving a valid account deletion request, we will delete or anonymize your personal data within a reasonable timeframe (e.g. 30 days), except where we are required or permitted by law to retain certain data (e.g. anonymized billing and transaction records for tax and legal compliance, data needed to comply with legal obligations, resolve disputes, or enforce these Terms).
- Data protection rights. This right is in addition to any rights you may have under applicable data protection laws (e.g. GDPR right to erasure, India's data protection laws). See our Privacy Policy for details on how to exercise your data protection rights and what data may be retained.
- Irreversible. Account deletion is irreversible. Once your account and data are deleted, they cannot be recovered. We strongly encourage you to export your data (see Section 4) before requesting deletion.
17.4 Effect of Termination
- Upon termination (by you or by us), your right to use the Service ceases as described above (immediately for breach; at end of paid period for voluntary cancellation).
- We may delete or retain your data in accordance with our Privacy Policy and applicable law. We encourage you to export or back up your data before your access ends.
17.5 Survival
18. Changes to These Terms
- Right to update. We may update these Terms from time to time. We will post the updated Terms on our website (e.g. at oddvue.com/terms) and update the "Last updated" date.
- Notice of material changes. For material changes, we will give you reasonable notice (e.g. by email to your registered address or by a prominent notice in the Service) before the changes take effect. Your continued use of the Service after the effective date of the changes constitutes acceptance of the updated Terms, except where applicable law requires your explicit consent — in which case we may require you to accept the new Terms at your next login or otherwise before continued use.
- Your responsibility. It is your responsibility to review these Terms periodically. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription as described in Section 17.
19. Communications
- Transactional communications. By creating an account, you consent to receive transactional emails and notifications from us that are necessary for the operation of the Service. These include, without limitation: OTP/verification codes, password reset emails, billing receipts, subscription and renewal notices, service alerts (e.g. downtime, security), and notices of material changes to these Terms or the Privacy Policy. These communications are not optional and are a necessary part of the Service; you cannot opt out of them while you maintain an account.
- Marketing communications. We may occasionally send promotional or marketing communications (e.g. newsletters, feature announcements, special offers). We will only send marketing emails where we have your consent or where permitted by applicable law (e.g. "soft opt-in" for existing customers under applicable regulations). You can opt out of marketing communications at any time by using the "unsubscribe" link in any such email or by contacting us at Section 24. Opting out of marketing will not affect your receipt of transactional communications.
20. Governing Law and Disputes
- Governing law. These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by the laws of India, without regard to conflict-of-law principles.
- Informal resolution. Before initiating any formal legal or arbitration proceeding, you agree to attempt to resolve the dispute informally by contacting us at the address in Section 24. We will attempt to resolve the dispute in good faith within a reasonable time (e.g. 30 days).
- Arbitration. For any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally, you and OddVue agree to submit the dispute to binding arbitration administered under the Arbitration and Conciliation Act, 1996 (India), or as mutually agreed. The arbitration shall be conducted in Satara, Maharashtra, India, in English, by a single arbitrator appointed in accordance with the applicable arbitration rules. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs, unless the arbitrator determines otherwise.
- Class action waiver. To the fullest extent permitted by applicable law, you and OddVue agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found to be unenforceable in your jurisdiction, the remainder of this arbitration provision shall still apply.
- Exceptions to arbitration. Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm, without first submitting to arbitration.
- Jurisdiction (fallback). To the extent that arbitration does not apply (e.g. where the arbitration or class action waiver provisions are held unenforceable in your jurisdiction), the courts of Satara, Maharashtra, India, shall have exclusive jurisdiction to settle any dispute. You consent to the personal jurisdiction of such courts.
- Consumer and mandatory law. If you are a consumer in a jurisdiction that mandates a different governing law, forum, or dispute resolution mechanism for certain disputes, that mandatory law may apply to the extent required. Nothing in these Terms limits your statutory rights as a consumer where applicable.
21. Entire Agreement, Waiver, and Assignment
- Entire agreement. These Terms, together with the Privacy Policy and any other policies or documents expressly referenced herein, constitute the entire agreement between you and OddVue regarding the Service. They supersede all prior or contemporaneous agreements, understandings, representations, and communications (whether written or oral) relating to the subject matter of these Terms.
- Waiver. Our failure to exercise or enforce any right or provision of these Terms at any time does not constitute a waiver of that right or provision (or any other right or provision). A waiver is only effective if it is in writing and signed by an authorized representative of OddVue.
- Assignment. We may assign or transfer our rights and obligations under these Terms (in whole or in part) without your consent, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of our assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any purported assignment in violation of this section is void.
- No third-party beneficiaries. These Terms are between you and OddVue only. No third party has any rights to enforce any provision of these Terms, except where expressly stated (e.g. the Merchant of Record to the extent applicable under Section 8).
- Relationship of the parties. Nothing in these Terms creates or is intended to create a partnership, joint venture, employment, franchise, or agency relationship between you and OddVue. Neither party has the authority to bind or act on behalf of the other.
- Headings. Section headings in these Terms are for convenience of reference only and do not affect the interpretation or scope of any provision.
22. Language
These Terms are written and provided in English. If we provide a translation of these Terms in any other language (for convenience or accessibility), the English version shall prevail in the event of any conflict or inconsistency between the English version and any translated version, to the extent permitted by applicable law.
23. Severability
If any provision of these Terms is held by a court, arbitrator, or other authority of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed. The remaining provisions of these Terms shall continue in full force and effect.
